How to Invoice as a Sole Proprietor: Everything You Need to Know
Whether you just started freelancing or have been self-employed for years, invoicing as a sole proprietor can feel surprisingly confusing. Here's everything you need — including what must go on every invoice and how requirements differ by country.
What Is a Sole Proprietor?
A sole proprietor (or sole trader) is a self-employed individual who owns and runs their business personally. Unlike an LLC or corporation, there is no legal separation between you and your business — you are the business.
| Structure | Legal separation | Setup complexity | Tax filing |
|---|---|---|---|
| Sole proprietor | None | Minimal | Schedule C (US) |
| LLC | Yes | Moderate | Pass-through or separate |
| Employee | N/A | N/A | W-2 / employer handles |
Most freelancers — designers, writers, consultants, developers, cleaners, tutors — operate as sole proprietors by default, even if they have a trading name.
Do Sole Proprietors Need to Invoice?
Yes — and not just as good practice. In most countries invoicing is legally required for B2B transactions and strongly advisable for all client work.
- Legal record: An invoice is your documented proof that work was completed and payment is owed.
- Tax requirement: Tax authorities expect you to keep invoices for 3–7 years as business records.
- Payment protection: Without an invoice, chasing late payments is significantly harder — legally and practically.
- VAT/GST compliance:If you're VAT-registered, you are legally required to issue a VAT invoice within a set number of days.
What Goes on a Sole Proprietor Invoice?
Even without a registered company name, your invoices must contain certain information to be legally valid:
Even if you trade as "Studio X" — your personal name must appear. You can include both: "Jane Smith t/a Studio X".
Your home address is fine if that's where you operate from.
EIN (US), UTR (UK), KVK + BTW (NL), Steuernummer (DE), ABN (AU).
Name, company (if applicable), address, email.
Sequential and unique: INV-0001, INV-0002… or 2026-001, 2026-002…
Date issued, and when payment is due (e.g. "Net 30" = 30 days from invoice date).
Be specific. "Web design — homepage redesign, 3 revision rounds" not "Web design".
If registered: subtotal, tax rate, tax amount, total. If not: state "VAT not applicable".
Bank account (IBAN/sort code/routing number), PayPal, or payment link.
Sole Proprietor Invoice Requirements by Country
🇺🇸 United States
No mandated invoice format for sole proprietors. If you have an EIN (Employer Identification Number), include it. Never put your SSN on an invoice — use an EIN instead. Self-employment tax is 15.3% on net earnings.
🇬🇧 United Kingdom
Sole traders must include their name on all invoices. If VAT-registered (threshold: £90,000/yr), a VAT invoice is legally required and must include your VAT registration number. Making Tax Digital (MTD) applies to VAT-registered businesses.
🇳🇱 Netherlands (ZZP)
Dutch ZZP'ers must include their KVK number and BTW number on all invoices. Standard BTW rates: 21%, 9%, 0%. Under the KOR (below €20,000/yr) no BTW is charged — write 'BTW vrijgesteld o.g.v. art. 25 Wet OB 1968 (KOR)'.
🇩🇪 Germany (Freiberufler)
German freelancers must include their Steuernummer on invoices. Kleinunternehmer (below €22,000/yr) write 'Kein Ausweis von Umsatzsteuer aufgrund der Kleinunternehmerregelung nach §19 UStG'.

Australian sole traders must include their ABN. If GST-registered (threshold: A$75,000/yr), issue a tax invoice with GST breakdown. Note 'Tax Invoice' prominently at the top.

- Quarterly estimated taxes (US): Pay quarterly (April 15, June 15, September 15, January 15). Set aside ~25–30% of income.

- Deductible expenses: Home office, equipment, software, professional development — reduce your taxable income.

Does a sole proprietor need to charge sales tax?
It depends on your country and state/region. In the US, sales tax applies to product sales and some services depending on nexus rules. In the EU/UK, VAT applies once you exceed the registration threshold. In Australia, GST applies above A$75,000/yr. When in doubt, consult a local accountant.
Do I need an EIN to invoice?
No. US sole proprietors can use their SSN as their tax identifier. However, getting a free EIN from the IRS is recommended — it keeps your SSN private and is required for hiring employees or opening a business bank account.
Can I use a business name on my invoice?
Yes — but you must also include your legal personal name. "Jane Smith trading as Studio X" is acceptable. The legal name is required for tax and legal identification.
How do I number my invoices as a sole proprietor?
Use a sequential, unique numbering system: INV-0001, INV-0002 — or include the year: 2026-001. Never reuse or skip invoice numbers. This is important for tax auditing and bookkeeping.
